Terms and Conditions

1. Introduction

These Terms and Conditions govern your use of the website located at https://www.prodvent.ca and any services offered by PRODVENT, a registered business operating under the laws of Ontario, Canada.

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

2. About ProdVent

PRODVENT is a product design studio offering UX, research, and design services to founders, entrepreneurs, and small businesses globally.

3. Services

ProdVent offers the following services:

  • UX Audit
  • Product Design Sprint
  • Data-Informed Redesign
  • Monthly Design Retainer
  • 0 to 1 Product Design

The scope, timeline, and deliverables for each engagement will be outlined in a separate project proposal or service agreement provided to the client prior to commencement of work.

4. Payment Terms

4.1 Currency
All services are priced and invoiced in United States Dollars (USD). Canadian Dollar (CAD) pricing is available upon request. Where CAD is used, the exchange rate applied will be the prevailing rate at the time of invoicing.

4.2 Deposit
A non-refundable deposit of 50% of the total project fee is required before any work begins. Work will not commence until the deposit has been received and confirmed.

4.3 Remaining Balance
The remaining 50% balance is due upon project completion and before final files or deliverables are handed off to the client.

4.4 Monthly Retainer
For clients on the Monthly Design Retainer package, payment is due at the start of each billing month. Failure to pay within 7 days of the due date may result in a pause of services.

4.5 Late Payments
Invoices not paid within 14 days of the due date may be subject to a late fee of 2% per month on the outstanding balance.

5. Refund Policy

Due to the nature of design services, all payments are non-refundable once work has commenced. The 50% deposit is non-refundable under all circumstances.

If a client wishes to cancel a project after work has begun, they remain responsible for payment of work completed up to the date of cancellation. ProdVent will provide an itemized summary of work completed upon request.

6. Intellectual Property

6.1 Ownership Transfer
Upon receipt of full and final payment, all design deliverables created by ProdVent for the client become the property of the client. ProdVent retains no ownership rights to final deliverables once payment is complete.

6.2 Portfolio Rights
ProdVent reserves the right to display completed work in its portfolio, website, and social media channels unless the client requests otherwise in writing prior to project commencement.

6.3 Third Party Assets
Any third party assets used during a project such as stock images, icons, and fonts are subject to their respective licenses. The client is responsible for ensuring continued compliance with those licenses after handoff.

7. Client Responsibilities

The client agrees to:

  • Provide timely feedback and approvals to avoid project delays
  • Supply any required content, assets, or access credentials in a timely manner
  • Designate a single point of contact for the duration of the project
  • Review and approve deliverables within the timeframes agreed upon in the project proposal

ProdVent is not responsible for project delays caused by late feedback, missing content, or lack of client communication.

8. Revisions

The number of revision rounds included in each package is outlined in the project proposal. Revisions beyond the agreed scope may be subject to additional fees, which will be communicated to the client in advance.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. ProdVent will not disclose client information to third parties without prior written consent, except where required by law.

10. Limitation of Liability

To the fullest extent permitted by law, ProdVent shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability to any client shall not exceed the total fees paid by that client for the specific project in question.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to These Terms

ProdVent reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
